Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NexusPrompt ("we," "us," or "our") governing your access to and use of the NexusPrompt platform, including our website, AI prompt generation tools, prompt vault, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. Your continued use of the Service constitutes acceptance of these Terms and any future modifications.

Eligibility

To use NexusPrompt, you must:

• Be at least 13 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Account Registration and Security

Account Creation

You may create an account using:

• Email and password registration
• Google OAuth Single Sign-On (SSO)

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring you log out from your account at the end of each session

We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Termination

You may terminate your account at any time through your dashboard settings. We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

Service Description

Prompt Vault

Our Prompt Vault provides access to a curated library of professional AI prompts:

• Free Users: Limited preview access (first 200 characters of each prompt)
• Pro Users: Full access to all 88+ prompts across ChatGPT, Gemini, Claude, Perplexity, and Grok
• Ability to save prompts to your personal library
• Search and filter functionality by category, model, and tags

AI Infinite Generator

Our AI-powered prompt generation tool creates custom prompts based on your specifications:

• Free Users: 5 generations per day
• Pro Users: 100 generations per day
• Generation history saved to your account
• Rate limits reset daily at midnight UTC

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

Subscription Plans and Billing

Free Plan

• Limited prompt vault access (preview only)
• 5 AI generations per day
• Basic support
• No payment required

Pro Plan

Available via Stripe subscription (monthly or yearly):

• Full access to all 88+ premium prompts
• 100 AI generations per day
• Priority support
• No ads or branding
• Early access to new features

Lifetime Access

Available via PayPal one-time payment:

• All Pro Plan benefits
• One-time payment, no recurring charges
• Lifetime access to current and future features

Payment Terms

• All payments are processed securely through Stripe or PayPal
• Subscription fees are billed in advance on a recurring basis (monthly or yearly)
• You authorize us to charge your payment method for all fees incurred
• Prices are subject to change with 30 days' notice to existing subscribers
• All fees are non-refundable except as required by law

Cancellation and Refunds

Stripe Subscriptions:

• You may cancel your subscription at any time through your dashboard
• Cancellation takes effect at the end of the current billing period
• You will retain Pro access until the end of the paid period
• No partial refunds for unused time within a billing period

PayPal Lifetime Access:

• One-time payments are final and non-refundable
• Lifetime access is tied to your account and cannot be transferred

User Content and Intellectual Property

Your Content

"User Content" refers to any content you submit, upload, or generate through the Service, including:

• Prompt inputs submitted to the AI Generator
• AI-generated prompts created through our tools
• Saved prompts in your personal library
• Messages sent through our contact form

Content Ownership

You retain all ownership rights to your User Content. However, by using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purposes of:

• Providing and improving the Service
• Training and enhancing our AI models
• Analyzing usage patterns and service quality
• Enforcing these Terms and preventing abuse

This license terminates when you delete your User Content or close your account, except where we are required to retain it for legal or operational purposes.

Our Content

All content provided in the Prompt Vault, including the 88+ curated prompts, is owned by NexusPrompt and protected by intellectual property laws. You may not:

• Copy, reproduce, or distribute vault prompts outside the Service
• Sell, license, or commercialize our prompts without written permission
• Reverse engineer or extract our prompt library
• Remove or modify any proprietary notices or attributions

Pro users are granted a personal, non-transferable license to use vault prompts for their own purposes while their subscription is active.

AI-Generated Content

Prompts generated through our AI Infinite Generator are considered User Content. You own the output and may use it for any lawful purpose. However, we cannot guarantee that AI-generated content is unique or free from infringement of third-party rights.

Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Generate prompts that promote hate speech, violence, harassment, or discrimination
• Create content that infringes on intellectual property rights of others
• Attempt to circumvent rate limits, paywalls, or access controls
• Use automated tools (bots, scrapers) to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload malware, viruses, or malicious code
• Impersonate others or create fake accounts
• Interfere with the operation of the Service or other users' access
• Attempt to gain unauthorized access to our systems or data
• Share your account credentials with others
• Resell or redistribute access to the Service

Violation of these prohibitions may result in immediate termination of your account and legal action.

Data Security and Storage

• Password Security: Passwords are hashed using bcrypt and never stored in plain text
• Database Security: PostgreSQL with access controls and encryption at rest

• Payment Security: PCI-compliant processing via Stripe and PayPal (we never store payment details)
• Regular Audits: Periodic security assessments and vulnerability testing
• Access Controls: Role-based permissions and administrative safeguards

Data Storage

We store the following data securely:

• Account Information: Name, email, hashed password, profile picture (if using Google SSO)
• Subscription Data: Billing status, plan type, Stripe customer ID
• Generation History: Your prompt inputs and AI-generated outputs
• Saved Prompts: Prompts you've saved from the vault to your personal library
• Usage Metrics: Anonymous analytics data for service improvement

Third-Party Services

We use trusted third-party services to operate our platform:

• Stripe: Payment processing and subscription management (PCI-DSS compliant)
• PayPal: One-time payment processing for lifetime access
• Google: OAuth authentication and Analytics
• Abacus.AI: AI model hosting for prompt generation
• PostgreSQL: Secure database hosting

These services are bound by their own privacy policies and security standards. We carefully vet all third-party providers for compliance with data protection regulations.

Data Breaches

In the unlikely event of a data breach affecting your personal information, we will:

• Notify affected users within 72 hours of discovery
• Provide details about the nature and scope of the breach
• Outline steps we're taking to remediate the issue
• Offer guidance on protecting your account
• Report to relevant authorities as required by law

Handling of Sensitive Information

What We Consider Sensitive

Sensitive information includes but is not limited to:

• Payment card information (handled exclusively by Stripe/PayPal)
• Government-issued identification numbers
• Health or medical information
• Biometric data
• Trade secrets or confidential business information

Your Responsibility

Do not submit sensitive information to the AI Generator. While we take measures to protect your data, you should:

• Avoid including personal identifiable information in prompts
• Not share passwords, credit card numbers, or financial data
• Refrain from including health or medical information
• Not submit confidential business information you wish to keep private

We are not responsible for any sensitive information you voluntarily submit through the Service.

Payment Information

We never store your complete payment card details. All payment processing is handled by:

• Stripe: PCI-DSS Level 1 certified payment processor
• PayPal: Industry-leading payment security

We only store a Stripe customer ID or PayPal transaction reference to manage your subscription status.

Disclaimers and Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

AI-Generated Content

We do not guarantee that AI-generated prompts will:

• Be accurate, complete, or suitable for your purposes
• Be unique or free from third-party intellectual property rights
• Comply with specific guidelines of third-party AI platforms
• Achieve any particular results when used with AI models

You are solely responsible for reviewing, testing, and validating AI-generated content before use.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUSPROMPT SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, errors, or security breaches
• Unauthorized access to your account due to credential compromise
• Actions or content of third-party services we integrate with

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Service Availability

We do not guarantee uninterrupted or error-free operation of the Service. We may experience downtime for maintenance, updates, or due to circumstances beyond our control.

Indemnification

You agree to indemnify, defend, and hold harmless NexusPrompt, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your User Content or any harm caused by it
• Your breach of any applicable laws or regulations

Dispute Resolution

Informal Resolution

If you have a dispute with us, you agree to first contact us at [email protected] and attempt to resolve the dispute informally.

Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except where prohibited by law. The arbitration will be conducted under the rules of a recognized arbitration body.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NexusPrompt operates, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts in that jurisdiction.

Changes to Terms of Service

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service with an updated "Last Updated" date. Material changes will be notified via:

• Email to registered users
• Prominent notice on the platform
• In-app notification

Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may close your account.

Termination

By You

You may terminate your account at any time through your dashboard settings. Upon termination:

• Your access to the Service will cease immediately (or at the end of your billing period for paid plans)
• Your User Content may be deleted within 30 days
• You will no longer be charged for subscriptions

By Us

We may suspend or terminate your access to the Service at our sole discretion if:

• You violate these Terms
• Your account is inactive for an extended period
• We are required to do so by law
• We discontinue the Service entirely

Upon termination by us, we will provide reasonable notice unless immediate termination is necessary to protect the Service or other users.

Effect of Termination

Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will remain in effect after termination.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NexusPrompt regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, or internet service provider failures.
